These Terms & Conditions (“Terms”) govern access to and use of www.machrix.com and related services.
By using the Website, you agree to these Terms.
1. Business-to-Business Platform
Machrix is primarily a B2B platform serving:
- Manufacturers;
- Furniture manufacturers;
- Home manufacturing businesses;
- Distributors;
- Dealers;
- Contractors;
- Machinery traders;
- Industrial buyers;
- Professional users.
The Website is not primarily intended for consumer transactions.
2. MACHRIX Business Model
Machrix may operate in several capacities:

B. Marketplace
Machrix may allow independent sellers or suppliers to publish machinery and tools.
C. Buyer-Seller Connection
Machrix may connect buyers and sellers through inquiries, quotation requests, messaging, or other communication channels.

The applicable transaction documents will determine which model applies.
3. No Automatic Offer
A product listing, advertisement, or product page does not necessarily constitute a binding offer.
Product availability, price, specifications, and commercial terms must be confirmed in writing.
A transaction becomes binding only when the parties enter into an applicable quotation, purchase order, invoice, sales contract, or other written agreement.
4. Product Information
Product information may include:
- Manufacturer;
- Model;
- Year;
- Dimensions;
- Weight;
- Capacity;
- Power;
- Voltage;
- Operating hours;
- Condition;
- Accessories;
- Photos;
- Videos;
- Price;
Machrix makes reasonable efforts to maintain accurate information.
However, information may be provided by third parties and may contain errors, omissions, outdated information, or inaccuracies.
5. New Equipment
New equipment is subject to the warranty and specifications expressly stated in the applicable transaction documents.
Unless otherwise stated, manufacturer warranties are subject to the manufacturer’s own terms.
6. Used Equipment
Used machinery and used tools may have:
- Wear;
- Cosmetic damage;
- Mechanical wear;
- Repaired components;
- Replaced parts;
- Modifications;
- Missing accessories;
- Previous operating history;
- Age-related limitations.
Used equipment should be inspected before purchase whenever reasonably possible.
7. Buyer Due Diligence
Buyers are responsible for verifying:
- Specifications;
- Condition;
- Compatibility;
- Voltage;
- Frequency;
- Dimensions;
- Weight;
- Production capacity;
- Installation requirements;
- Safety requirements;
- Local regulations;
- Import requirements.
8. Prices
Prices may exclude:
- Freight;
- Insurance;
- Customs duties;
- Import taxes;
- VAT/GST;
- Port charges;
- Destination charges;
- Installation;
- Local certification.
The final quotation or contract shall prevail.
9. Payment

Machrix may suspend or cancel an order if payment is not received according to agreed terms.
10. Shipping
Shipping terms shall be determined by the applicable transaction document.
Incoterms may include:
- EXW;
- FCA;
- FOB;
- CFR;
- CIF;
- DAP;
The Incoterm stated in the final transaction document shall prevail.
11. Customs and Import
Unless otherwise agreed, the buyer is responsible for:
- Import permits;
- Customs clearance;
- Import duties;
- Taxes;
- Tariffs;
- Destination charges;
- Local regulatory compliance.
12. Intellectual Property
All Machrix-owned Website content is protected by applicable intellectual property laws.
Unauthorized copying, reproduction, scraping, redistribution, or commercial use is prohibited.
13. Prohibited Activities
Users may not:
- Commit fraud;
- Submit false information;
- Upload illegal content;
- Infringe intellectual property;
- Distribute malware;
- Attack the Website;
- Scrape protected data;
- Impersonate another company;
- Manipulate listings;

14. Third-Party Sellers

- Seller solvency;

- Product performance;
- Delivery;
- Payment;
- Seller representations.
15. Disclaimer
The Website is provided on an “as available” basis.
Machrix does not guarantee that:
- Every listing is error-free;
- Every machine is available;
- Every machine is suitable for a particular purpose;
- Used machinery will perform like new machinery;
- Website information is always current;
- Website access will always be uninterrupted.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Machrix shall not be responsible for indirect, incidental, special, consequential, or punitive losses, including:
- Production losses;
- Lost profits;
- Business interruption;
- Lost opportunities;
- Transportation delays;
- Customs delays;
- Third-party conduct;
- Equipment downtime.
Nothing in these Terms excludes liability that cannot legally be excluded.
17. Indemnification
You agree to indemnify Machrix against claims and losses resulting from:
- Your breach of these Terms;
- Your unlawful use of the Website;
- Your infringement of third-party rights;
- Your misuse of machinery;
- False information submitted by you.
18. Governing Law
The governing law and dispute resolution mechanism shall be specified in the applicable purchase agreement where applicable.
For Website use matters where no separate agreement applies, Machrix may rely on the laws applicable to its place of establishment, subject to mandatory laws applicable to the user.
19. Changes
Machrix may update these Terms.
Continued use of the Website after publication of updated Terms constitutes acceptance to the extent permitted by applicable law.
